LEGAL / TERMS OF SERVICE
Terms of Service
The terms for your Moonbreak web workspace: what the service provides, what each party is responsible for, and how subscriptions, cancellation and disputes are handled.
Your work stays yours
Permission to process content is limited to providing and protecting the service.
Clear renewal terms
Monthly renewal; cancel before the next charge. Refund exceptions and billing corrections are set out below.
Defined responsibilities
Customer agreements, public links and liability limits have their own sections.
Your agreement with SyncGuard LLC
Moonbreak’s website and web service are operated by SyncGuard LLC, a Delaware limited liability company. “Moonbreak,” “we” and “us” mean SyncGuard LLC. “You” means the person accepting these Terms and, if that person acts for an organization, the organization they are authorized to represent. Our contact email is team@moonbreak.com.
By accepting these Terms when registering or purchasing a subscription, you enter this agreement with us. You must be at least 18 and legally able to contract, or act with the necessary authority for your organization. If you do not agree, do not create an account or purchase the service. These Terms cover the web service; a future mobile service may have separate operator details and terms.
A separately signed agreement controls where it expressly conflicts with these Terms. A checkout or order confirmation controls the particular plan, billing period and charges you accepted. The Acceptable Use Policy forms part of these Terms. The Privacy and Cookie Policies explain information handling; they do not replace any data processing agreement required for your use.
The service and your access
Moonbreak provides business tools for customer records, quotations, invoices, messages, signatures, recordings and team coordination. Subject to these Terms and your plan, we give you a limited, non-exclusive right to use the service for your business during your account or subscription term. Feature availability depends on the plan, role and document state. Purchase based on available features, not an expectation of future releases.
Review features and plan allowancesAccounts, workspaces and administrators
Provide accurate account and billing information, keep credentials confidential and tell us promptly about suspected unauthorized access. Each person should use their own authorized account. You are responsible for your users’ activity and access choices to the extent within your reasonable control; this does not relieve us of our own security obligations.
A workspace owner or administrator can manage membership and information within the permissions provided by the service. Make sure the organization has authority to give those instructions, and review access when a person leaves. A dispute between colleagues about ownership or access may require evidence of authority before we can act. We will not disclose workspace information merely because someone requests it.
Keep different businesses’ records in the correct workspace. A role in the software does not determine someone’s legal authority to sign an agreement, approve spending or represent another business.
Your content and the permission to provide the service
You retain ownership of the records, documents, messages, recordings and other content you provide. You give us permission to host, copy, process, transmit and display that content only as needed to operate and support the service, follow authorized instructions, protect the service and comply with law. This includes using service providers for those purposes. It does not transfer ownership or authorize us to use your private customer documents as public advertising.
You are responsible for having the rights, lawful basis, notices and permissions needed for your content and instructions. Keep information accurate and avoid providing unnecessary sensitive data. Do not upload payment-card security codes, passwords for other services or regulated information that requires safeguards we have not expressly agreed to provide.
Maintain appropriate copies of essential business records. Our responsibilities for customer content continue to be governed by applicable law and any agreed data processing terms; a customer’s responsibilities do not remove ours.
Confidentiality
Each party will use the other’s non-public business information only for this relationship, protect it with reasonable care, and limit disclosure to people or providers who need it for an authorized purpose and are subject to appropriate duties. This does not cover information already lawfully known, independently developed, publicly available without a breach, or lawfully received from another source. A legally required disclosure is permitted; where lawful, the receiving party will give notice and limit disclosure to what is required. Sharing a document at your direction is an authorized disclosure, not a promise that its recipient will keep it confidential.
Your customer agreements and financial records
Your quotes, invoices and customer transactions remain between your business and its customers. Review descriptions, amounts, currencies, taxes, delivery commitments, acceptance wording and payment instructions before sharing. Templates are tools, not legal, tax or accounting advice. You are responsible for supplying the goods or services you agree to supply and resolving related customer disputes.
Moonbreak does not collect or guarantee your clients’ payments merely by issuing an invoice or recording its status. You manage your collection process and verify payment before marking an invoice paid. Dashboard figures and conversion estimates depend on the information and settings involved; they are not bank balances, audited accounts or guaranteed settlement rates.
Electronic signatures and acceptance
Electronic signing can record a person’s action on a document. It does not guarantee their identity, authority, understanding or the enforceability of every agreement. You are responsible for choosing a suitable signing process, obtaining necessary consent, checking the signatory’s authority, and meeting any special requirements for the transaction.
A document view, email open or blank signature field is not a signature. Review the accepted version and preserve the records you need. Do not impersonate a signer, sign for someone without authority or silently change an accepted agreement. Applicable law may require particular disclosures, access to copies or formalities outside the feature.
Emails, activity signals and recordings
Use messaging and recording features lawfully. Provide the notices, permissions and opt-out mechanisms your communications require, and honor applicable objections. Review screen, camera and microphone content before sharing. Email delivery, opens, clicks and document views can be affected by receiving systems, privacy tools, scanners and forwarded links; they do not guarantee delivery to a person, buying intent or agreement. We may restrict demonstrably abusive sending to protect recipients and the service.
Read the Acceptable Use PolicyPublic links and business branding
A person with a public document link may be able to open or forward it. Share only information appropriate for the audience and use the access controls available for the document. White-label links use an available workspace prefix on corporate.systems; they do not transfer ownership of that domain or establish an endorsement by the business named. Use only branding and names you are entitled to use. Report unintended disclosure promptly so we can assess the available response; a removed link cannot recall a recipient’s downloaded copy.
Billing, taxes and renewal
Paid web subscriptions are billed monthly in advance in US dollars, per workspace, and renew automatically unless canceled before the next renewal. Stripe processes subscription payments for SyncGuard LLC. Keep payment details current. Any applicable taxes and separately authorized charges are shown during the purchase or billing process.
We will give at least 30 days’ notice before a subscription price increase applies to an existing subscription. A change applies to a future billing period, not a period already paid for. You may cancel renewal before it takes effect. Review any separately presented proration, credit or effective date before confirming a plan change.
If payment fails, we may notify you and restrict paid access if the issue is not resolved. You remain responsible for valid charges already incurred. We will investigate a disputed charge; these Terms do not restrict rights to dispute a charge with your payment provider or under applicable law.
Cancellation and refunds
Cancel renewal through the available subscription management controls, or email team@moonbreak.com from the billing email with the workspace name and a clear cancellation request before renewal. Cancellation stops the next renewal and paid access continues through the current paid period. Keep the confirmation and contact us if it does not arrive. Account deletion and workspace deletion are separate from subscription cancellation.
Subscription fees and authorized usage charges are non-refundable for unused time, unused allowances, a mid-cycle cancellation or a change of mind after renewal. There is no discretionary prorated refund for those reasons. This policy does not limit a refund, cancellation right or other remedy required by applicable law.
Contact us about a duplicate, unauthorized or incorrect charge with the charge date and invoice reference. We will investigate and correct confirmed billing errors, including an erroneous renewal after a timely cancellation. Do not send complete payment-card details. The service-termination provisions below also apply when we end paid service without a breach by you.
Get help managing a subscriptionService care, availability and changes
We will provide the service with reasonable care and skill. We may perform maintenance and make changes for reliability, security, legal or product reasons. We will give reasonable notice of material changes when practicable. Except for an express commitment in a separate agreement or rights that cannot be excluded, we do not promise uninterrupted or error-free operation, a particular sales result or compatibility with every environment.
To the extent permitted by law, the service is otherwise supplied as available, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. This qualification does not override an express promise in these Terms or a mandatory legal duty.
If we materially remove the core paid functionality you purchased during a prepaid period and cannot offer a reasonable alternative, you may end the affected subscription and request a refund for the unused portion. Contact us promptly so we can understand the issue and try to resolve it.
Our intellectual property and third-party services
The software, Moonbreak brand and original website materials belong to us or our licensors. You may not copy, resell, sublicense or reverse engineer the service except as expressly allowed by us or by law. Voluntary product feedback may be used to improve the service without payment, but this does not authorize publication of confidential business information you include. Third-party websites or services have their own terms. This does not remove our responsibility for providers we use to fulfill our own obligations.
Suspension and termination
We may proportionately restrict access where reasonably necessary to address a material breach, unpaid charges, a security or abuse risk, or a legal requirement. Where practicable, we will explain the reason and allow a reasonable opportunity to correct it. Urgent action may be necessary where delay would expose people, data or the service to harm, or where notice is legally prohibited.
You may stop using the service and cancel renewal at any time. We may end a subscription for an unresolved material breach. If we discontinue paid service for our convenience without a breach by you, we will return the unused prepaid subscription fees for the affected period. Mandatory remedies remain available.
Before closing a workspace, retain the business records you need or contact us for assistance with available retrieval options. Access may end on closure; recovery is not guaranteed. Content handling after closure remains subject to the Privacy Policy, applicable law and any data processing agreement. Payment obligations already incurred, confidentiality, intellectual property and provisions intended to survive will continue.
Limits on liability
To the extent permitted by law, neither party is liable to the other under this agreement for indirect, incidental, special or consequential losses, or lost profits, revenue, business opportunities or goodwill. This applies only where the exclusion is lawful and does not remove an expressly promised refund.
To the extent permitted by law, each party’s aggregate liability arising out of the service or these Terms is limited to the greater of US$100 or the fees paid or payable for the affected workspace during the 12 months before the event giving rise to the claim. This limit applies across related claims rather than separately to each one.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or liability that cannot lawfully be excluded or limited. They do not excuse payment of valid fees, permit infringement of the other party’s intellectual property, or restrict a data subject’s rights or a regulator’s powers under applicable law. Where a limitation is not permitted, the legally required standard applies.
Third-party claims about customer content
For a third-party claim arising from content you knowingly or negligently provided without the necessary rights, or your unlawful use of the service, you will cover our reasonable defense costs and amounts awarded or agreed in settlement to the extent caused by that conduct. This does not apply to the extent the claim results from our breach, unauthorized modification or misconduct. We must promptly notify you, allow reasonable control of the defense and cooperate at your expense. A settlement imposing an admission, non-monetary obligation or unreimbursed payment on us requires our consent, which will not be unreasonably withheld. This obligation is subject to the liability provisions above.
Resolving concerns and applicable law
Contact team@moonbreak.com with a description of a dispute and the outcome sought. Both parties will try in good faith to resolve it. This does not prevent urgent court relief, a regulator complaint or exercise of mandatory rights. Delaware law governs these Terms, excluding its conflict-of-law rules, except where mandatory law requires otherwise. Subject to those rights, courts of competent jurisdiction in Delaware may hear disputes; these Terms do not require arbitration or waive a right to bring a claim in a forum that applicable law makes available.
Notices and changes to the agreement
We may send account, billing and material service notices to the email associated with your account or display them in the service. Keep that email current. Send formal notices to team@moonbreak.com with enough information to identify the matter. We will give at least 30 days’ notice of materially adverse changes to these Terms before they take effect, unless a legal or urgent security requirement needs a shorter period. Changes are not retroactive. If you disagree, you may cancel before the new terms apply; where required, we will obtain renewed acceptance.
General terms
Neither party is responsible for delay caused by events beyond its reasonable control if it takes reasonable steps to reduce the impact; this does not excuse payments already due, required refunds or obligations that cannot be suspended by law. Neither party may transfer this agreement without the other’s consent, except to a successor in a genuine merger, reorganization or sale that assumes its obligations. If a provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver. Nothing here creates an agency, partnership or employment relationship, or limits rights that cannot legally be waived.
